10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHNICAL MASTER, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Technical Master, its affiliates, and their respective directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) in result from (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) content you submit, post, or transmit through the Service. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Policy explains how we collect, use, store, and protect your personal information. By using the Service, you consent to our collection and use of personal information as described in the Privacy Policy. We use cookies and similar tracking technologies to improve your experience on our Service, analyze usage patterns, and deliver targeted ads. You can control cookie settings through your browser, but disabling cookies may limit your ability to use certain features of the Service.
13. Changes to the Service
We reserve the right to modify, suspend, or discontinue the Service or any part thereof at any time, with or without notice, for any reason. We may also impose limits on certain features or restrict access to parts or all of the Service without notice or liability. You agree that we will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. In the event of any major changes, efforts will be made to notify registered users via email or through a notice on the Service.
14. Modifications to Terms
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes. We will update the “Last Updated” date at the top of these Terms to reflect the date of the most recent revision. We encourage you to review these Terms periodically to stay informed about our practices and any changes that may affect your rights and obligations.
15. Termination
We can end or suspend your access to all or part of the Service immediately, without notice or liability, for any reason. That includes, but isn’t limited to, you breaking these Terms. If we terminate your access, your right to use the Service ends immediately. If you want to close your account, stop using the Service and, if applicable, contact us to request account deletion. Any parts of these Terms that are meant to survive termination will still apply, including ownership provisions, warranty disclaimers, indemnity obligations, and liability limits.
16. Governing Law and Jurisdiction
These Terms, and any dispute or claim related to them, are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action related to these Terms must be filed only in the courts in Montreal, Quebec, Canada, and you irrevocably consent to the personal jurisdiction and venue of such courts.
17. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service, the parties agree to first attempt to resolve the matter through good-faith negotiations. If the dispute can’t be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or litigation in accordance with the governing law and jurisdiction provisions set forth above.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration against Technical Master.
18. Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable by a court, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while keeping its original intent. If it can’t be changed, it will be removed. Everything else in these Terms stays in effect and won’t be impacted.
19. Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices or agreements we post on the Service, are the whole agreement between you and Technical Master about your use of the Service, and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
